Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the TwoDid mobile application (“TwoDid” or the “App”), provided by Jeffrey Yang (the “Application Provider”). By downloading, installing, or using TwoDid, you agree to be bound by these Terms, including the End User License Agreement and Subscription Terms set forth below. If you do not agree to these Terms, please do not use TwoDid.

End User License Agreement

TwoDid is licensed, not sold, to you. Your license to TwoDid is granted by the Application Provider and is subject to your prior acceptance of these Terms. The Application Provider reserves all rights in and to TwoDid not expressly granted to you under these Terms.

a. Scope of License

The Application Provider grants to you a nontransferable license to use TwoDid on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The terms of this license will govern any content, materials, or services accessible from or purchased within TwoDid as well as upgrades provided by the Application Provider that replace or supplement the original App. You may not distribute or make TwoDid available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute, or sublicense TwoDid and, if you sell your Apple device to a third party, you must remove TwoDid from the device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of TwoDid, any updates, or any part thereof.

b. Consent to Use of Data

You agree that the Application Provider may collect and use technical data and related information — including but not limited to technical information about your device, system and application software, and peripherals — that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to TwoDid. The Application Provider may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you. c. Termination

These Terms are effective until terminated by you or the Application Provider. Your rights under these Terms will terminate automatically if you fail to comply with any of their provisions. Upon termination, you must cease all use of TwoDid and destroy all copies, full or partial, of TwoDid.

d. External Services

TwoDid may enable access to the Application Provider’s and/or third-party services and websites (collectively and individually, “External Services”). You agree to use the External Services at your sole risk. The Application Provider is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. You will not use the External Services in any manner that is inconsistent with these Terms or that infringes the intellectual property rights of the Application Provider or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten, or defame any person or entity, and that the Application Provider is not responsible for any such use. The Application Provider reserves the right to change, suspend, remove, disable, or impose access restrictions or limits on any External Services at any time without notice or liability to you.

e. No Warranty

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF TWODID IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TWODID AND ANY SERVICES PERFORMED OR PROVIDED BY TWODID ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND THE APPLICATION PROVIDER HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO TWODID AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

f. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE APPLICATION PROVIDER BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE TWODID, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF THE APPLICATION PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall the Application Provider’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00).

g. Legal Compliance

You may not use or otherwise export or re-export TwoDid except as authorized by United States law and the laws of the jurisdiction in which TwoDid was obtained. In particular, but without limitation, TwoDid may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using TwoDid, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use TwoDid for any purposes prohibited by United States law.

h. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Application Provider, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or accruing from (a) your use of TwoDid in violation of these Terms or applicable law, or (b) your violation of any third-party right, including any intellectual property, publicity, or privacy right.

i. Acknowledgement

You acknowledge that these Terms are concluded between you and the Application Provider only, and not with Apple Inc., and that the Application Provider, not Apple, is solely responsible for TwoDid and its content. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to TwoDid. In the event of any failure of TwoDid to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for TwoDid to you (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to TwoDid. You acknowledge that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.

j. Entire Agreement; Governing Law

These Terms constitute the entire agreement between you and the Application Provider relating to TwoDid and supersede all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of these Terms will be binding unless made in writing or by the Application Provider. These Terms are governed by the laws of the State of California, excluding its conflicts-of-law principles. Use of TwoDid may also be subject to other local, state, national, or international laws.

Subscription Terms

TwoDid offers an optional paid subscription, “TwoDid Pro,” which unlocks additional features. TwoDid Pro is sold through the Apple App Store and managed via your Apple Account.

Plans and Pricing

Prices are listed in U.S. Dollars. Pricing in your local currency may vary and will be displayed by the App Store before you confirm your purchase. A TwoDid Pro subscription unlocks Pro features for both members of the pair connected to the purchasing account.

Free Trial

The 7-day free trial on the Yearly plan is available only to eligible new subscribers, as determined by Apple. If you do not cancel before the end of the free-trial period, your subscription will automatically convert to a paid TwoDid Pro Yearly subscription, and your Apple Account will be charged the then-current price.

Billing and Auto-Renewal

Payment will be charged to your Apple Account at the confirmation of purchase. Subscription automatically renews unless it is canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your Apple Account Settings on the App Store after purchase.

Cancellation

You can cancel your TwoDid Pro subscription at any time through your Apple Account’s Subscriptions settings. Cancellation takes effect at the end of the current billing period; you will continue to have access to Pro features until that period ends. Uninstalling TwoDid does not cancel your subscription.

Refunds

All purchases are processed by Apple, and refund requests are handled by Apple in accordance with the Apple Media Services Terms and Conditions. The Application Provider does not directly process refunds for App Store purchases.
